OmniSciences Terms of Service

DRAFT — LEGAL REVIEW REQUIRED. This document is a working draft of OmniSciences LLC's master Terms of Service. It has not been reviewed by counsel. Do not publish or rely on it for binding agreements until it has been reviewed by a licensed attorney admitted in Wyoming and (if EU/UK users are in scope) by counsel admitted in the relevant jurisdiction.

1. Acceptance

These Terms of Service ("Terms") are a binding agreement between you and OmniSciences LLC, a Wyoming limited liability company ("OmniSciences," "we," "us," "our"). By creating an account or using any OmniSciences service — including OmniHealth, OmniPoll, OmniFi, OmniResearch, and the public APIs and websites operated under the omnisciences.io domain (collectively, the "Services") — you agree to these Terms and to our Privacy Policy, which is incorporated here by reference.

If you do not agree, do not use the Services.

2. The Services

The Services let you connect, analyse, and share insights derived from your personal data (genetic, biometric, activity, opinion, financial, and similar). Some Services have their own additional terms (see §15); where they conflict with these master Terms, the product-specific terms control.

We may add, change, or remove features at any time. We will give reasonable advance notice for material changes to paid features.

3. Eligibility

You may use the Services only if you:

• are at least 13 years old (or the minimum age in your jurisdiction, whichever is higher; under-16s in the EU require parental consent under GDPR);
• can form a binding contract with us; and
• are not barred from using the Services under U.S. or other applicable law.

If you are using the Services on behalf of an organisation, you represent that you are authorised to bind that organisation.

4. Your Account

• You are responsible for maintaining the confidentiality of your credentials.
• You are responsible for all activity under your account, except activity caused by our breach of these Terms.
• Notify us immediately at security@omnisciences.io if you suspect unauthorised access.
• One person, one account, unless we explicitly authorise multi-account use.

5. Acceptable Use

You agree not to:

• use the Services in violation of applicable law (including health-data, financial, election, and export-control laws);
• upload data that infringes another person's intellectual property, privacy, or other rights;
• upload genetic, health, or biometric data that does not belong to you, unless you have explicit authorisation from the data subject;
• attempt to reverse-engineer, scrape, or extract our models, weights, or training data;
• probe, scan, or test the vulnerability of our systems without prior written permission (responsible-disclosure contact: security@omnisciences.io);
• impersonate any person or misrepresent your affiliation;
• use the Services to harass, defame, or discriminate; or
• use the Services in any way that could damage, disable, overburden, or impair them.

We may suspend or terminate accounts that violate this section, with or without notice.

6. Your Content; Licenses You Grant Us

You retain ownership of data you submit ("Your Content"). To operate the Services, you grant us a limited, worldwide, non-exclusive, royalty-free license to host, copy, transmit, display, analyse, and process Your Content solely to provide the Services to you.

If you opt in to the anonymized research / aggregate insights program, you separately grant us the right to compute and publish derived statistical aggregates from Your Content under the conditions described in the Privacy Policy (k-anonymity ≥ 50, differential privacy, no raw redistribution).

You may revoke these licenses at any time by deleting Your Content or your account. Revocation does not unmake aggregate statistics already computed and published.

7. Our Intellectual Property

The Services, our software, models, content (excluding Your Content), trademarks, logos, designs, and underlying research are owned by OmniSciences LLC or our licensors and are protected by U.S. and international IP law. Nothing in these Terms grants you any right in our IP except the limited right to use the Services as intended.

Where individual components are released under an open-source license (e.g. the omni_toolkit Python package), the open-source license governs those components.

8. Subscriptions, Billing, and Refunds

• Paid tiers (Premium, Pro, Lifetime, API) are billed in advance through Stripe.
• Monthly subscriptions auto-renew until cancelled in account settings.
• Annual subscriptions auto-renew unless cancelled at least 7 days before the renewal date.
• Refunds: within 14 days of initial purchase, request a full refund at billing@omnisciences.io. After 14 days, refunds are at our discretion.
• Taxes are your responsibility unless we are required by law to collect them.
• We may change pricing with at least 30 days' notice; you may cancel before the new price takes effect.

9. Third-Party Integrations

The Services integrate with third-party providers (Plaid, Stripe, Garmin Connect, Terra, AWS Cognito, others listed in the Privacy Policy). Your use of those providers' features is also governed by their own terms. We are not responsible for the acts or omissions of third parties.

If a third-party provider terminates our access or changes their terms, we may have to suspend the corresponding feature; we will give as much notice as practicable.

10. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

No medical advice. OmniHealth analyses produce statistical interpretations of your data. They are not medical, diagnostic, therapeutic, or prescriptive advice. They are not a substitute for consultation with a qualified healthcare professional. Do not disregard, delay, or alter medical care based on OmniHealth output. If you think you may have a medical emergency, call 911 (US) or your local emergency number.

No financial, legal, or tax advice. OmniFi outputs are statistical insights, not financial, legal, or tax advice.

No professional pollster, market-research, or election-administration role. OmniPoll outputs are aggregated user-generated opinion data; they are not scientifically representative surveys unless explicitly labelled as such.

Genetic insights are probabilistic. Polygenic risk scores and SNP interpretations describe statistical associations in studied populations, not deterministic predictions about you. Family-history and clinical genetics evaluation by a licensed professional remain the standard of care.

11. Limitation of Liability

To the maximum extent permitted by law:

• IN NO EVENT WILL OMNISCIENCES, ITS AFFILIATES, OR ITS LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, USE, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES.
• OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES IS LIMITED TO THE GREATER OF (A) $100 OR (B) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow these limitations; in those jurisdictions, our liability is limited to the maximum extent permitted by law.

Carve-outs. These limitations do not apply to: (a) liability for death or personal injury caused by our negligence; (b) liability for fraud or fraudulent misrepresentation; (c) any other liability that cannot be limited or excluded by law (including, in some jurisdictions, gross negligence or willful misconduct).

12. Indemnification

You agree to defend, indemnify, and hold harmless OmniSciences and its officers, members, and employees from any claim, damage, loss, or expense (including reasonable attorneys' fees) arising from: (a) your violation of these Terms; (b) your violation of any law or third-party right; or (c) Your Content. We will give you prompt written notice of any claim and reasonable cooperation in defending it; you may not settle a claim against us without our prior written consent if it requires anything of us other than payment of money.

13. Dispute Resolution; Arbitration; Class Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

13.1 Informal resolution

Before filing a claim, you and OmniSciences agree to try to resolve disputes informally for at least 60 days by sending written notice to legal@omnisciences.io (us) or to your account email (you).

13.2 Binding arbitration

Any unresolved dispute will be resolved by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules. The arbitrator's award is final and may be entered in any court of competent jurisdiction. Venue: Wyoming, or, by mutual agreement, by remote video proceeding.

13.3 Class-action waiver

YOU AND OMNISCIENCES AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.

13.4 Carve-outs from arbitration

You may bring (a) an individual action in small-claims court; (b) a claim for injunctive relief in any court of competent jurisdiction to protect IP; and (c) any claim that, by law, cannot be subjected to mandatory arbitration (including, where applicable, claims under WA MHMD's private right of action).

13.5 30-day opt-out

You may opt out of the arbitration requirement in §13.2 and the class waiver in §13.3 by emailing legal@omnisciences.io within 30 days of first accepting these Terms, with subject Arbitration Opt-Out and your account email in the body.

14. DMCA / Copyright

If you believe content on the Services infringes your copyright, send a DMCA notice to dmca@omnisciences.io containing the elements required by 17 U.S.C. § 512(c)(3). We will respond consistent with the DMCA and may terminate accounts of repeat infringers.

15. Product-Specific Terms

15.1 OmniHealth

• You represent that any genetic, biometric, or wearable data you upload belongs to you or that you have explicit authorisation from the data subject.
• OmniHealth outputs are not medical advice (see §10).
• Wearable integrations (Garmin Connect, Terra, etc.) are also governed by the wearable provider's terms.

15.2 OmniPoll

• Poll responses you submit may be aggregated and displayed publicly in anonymised form on the community insights dashboard.
• You may not use the Services to conduct election-administration polling without our prior written consent.
• Bot or coordinated inauthentic behaviour is grounds for immediate termination.

15.3 OmniFi

• Financial-account aggregation is provided through Plaid, subject to Plaid's terms.
• OmniFi outputs are not financial, legal, or tax advice (see §10).

15.4 OmniResearch / Public API

• API usage is subject to documented rate limits.
• You may not redistribute raw API responses to third parties; derived insights are permitted.

16. Termination

• By you: delete your account at any time in account settings or by emailing privacy@omnisciences.io.
• By us: we may suspend or terminate your account for material breach (with notice and a chance to cure, except for emergency security issues or repeat violations); for prolonged inactivity (with at least 60 days' notice for paid accounts); or if continued operation becomes unlawful or commercially infeasible.
• Survival. §6 (license to Your Content for already-published aggregates), §7 (IP), §10 (disclaimers), §11 (limits), §12 (indemnification), §13 (arbitration), and any unpaid balances survive termination.

17. Changes to These Terms

We will post material changes at least 30 days before they take effect, and notify you by email or in-product notice. Continued use after the effective date means you accept the updated Terms. If you object, stop using the Services and request account deletion.

18. Governing Law; Venue

These Terms are governed by the laws of the State of Wyoming, without regard to conflicts-of-law principles. Subject to §13, exclusive venue for any non-arbitrable claim is the state and federal courts located in Wyoming. The UN Convention on Contracts for the International Sale of Goods does not apply.

19. General

• Entire agreement. These Terms plus the Privacy Policy and any product-specific addenda are the entire agreement.
• Severability. If any provision is unenforceable, the rest remains in effect.
• No waiver. Our failure to enforce a right is not a waiver.
• Assignment. You may not assign these Terms without our consent. We may assign to an affiliate or in connection with a merger, acquisition, or sale of assets.
• Force majeure. Neither party is liable for delays caused by events outside reasonable control.
• Notices to us: legal@omnisciences.io. Notices from us: the email on file for your account.
